Terms of Service

Version

Draft: this document is being reviewed by our lawyers before live payments open, and may change. Test mode moves no real money.

These terms are an agreement between Wolf Pay ("Wolf Pay", "we") and the business that opens a Wolf Pay account ("you"). The person who accepts them confirms they may bind that business. They work together with our Privacy Policy and Acceptable Use Policy.

1. What Wolf Pay is

Wolf Pay is software for accepting stablecoin payments (USDT and USDC), sending payouts and refunds, and keeping track of both: a dashboard, an API, plugins, payment links and invoices.

Wolf Pay doesn't hold your money. Live funds are held for you by our custody partner, Bridge (a Stripe company), in custodial wallets in your business's name. Bridge verifies your business, screens transactions, holds the funds and executes transfers. To use live payments you must also accept Bridge's own terms, which you're shown during verification; Bridge's terms govern Bridge's services. Wolf Pay records what happens to your money in a ledger and tells Bridge what you ask it to do.

2. Your account

  • Test mode is free and moves no real money. Anyone may use it, subject to the Acceptable Use Policy.
  • Live mode needs your business to pass verification with Bridge, and our own review for some industries. We or Bridge may decline any business, and may ask for more information at any time.
  • Give us true, complete information and keep it current, including who owns and controls the business.
  • You're responsible for everything done with your account, by your team members and with your API keys. Keep keys secret, use two-factor authentication, and tell us at once if you think an account or key has been compromised.

3. Payments

  • A payment is complete when the stablecoin arrives at its deposit address and is confirmed on its network. Customers pay network fees from their own wallet.
  • Stablecoin transfers can't be reversed. There are no chargebacks. Payments sent to the wrong network, in an unsupported coin, or to an expired payment may not be recoverable; we'll help where Bridge can, but can't promise to.
  • Underpaid, overpaid and late payments are recorded with the exact amounts and reported to you. What you do about them with your customer is up to you.
  • When a customer pays with another coin (for example BTC), a third-party exchange service converts it, and you receive the stablecoin amount that arrives. Quotes can expire and conversions can fail; the customer's funds then follow that service's refund process.

4. Payouts and refunds

  • You can pay your balance out to wallet addresses you control, and pay other people (bulk payouts). Payouts go only to addresses you've added, which are held for 24 hours before they can receive live money, and large payouts need an emailed code.
  • You may refund customers. A refund of a live payment goes back to the address that paid, unless an owner approves a different one.
  • Check addresses before you send. A transfer to a wrong address can't be undone.
  • When you pay distributors, contractors or other people, you are the one paying them: you're responsible for doing so lawfully, including tax reporting, and for any registration your payments need where you and they are.

5. Fees

  • 1% of each payment, at least $3 per payment (never more than the payment itself), and $1 per bulk payout. Current prices are always at /pricing.
  • Fees are added up in your balance as payments arrive and collected when you next pay out in that coin. Wolf Pay's fee on a payment isn't returned when you refund it.
  • We may change prices with at least 30 days' notice by email. Test mode is free.

6. Rules

You must follow the Acceptable Use Policy and the law, including sanctions, anti-money-laundering, consumer protection and tax law. We may hold a payment or payout for review, ask for information, or refuse or reverse an action in our software (never a confirmed transfer) where we reasonably think it's needed to comply with law, Bridge's requirements or these terms.

7. Suspension and closing

  • You may close your account at any time once your live balance is paid out.
  • We may suspend or close your account, with notice where the law and circumstances allow, if you break these terms or the Acceptable Use Policy, if Bridge stops serving your business, or if the law requires it. Unless the law or an authority prevents it, you'll be able to pay out your remaining live balance to a verified address of yours.
  • Sections 3, 4, 5 (fees owed), 8, 9, 10 and 11 survive closing.

8. No warranties

Wolf Pay is provided "as is". We work to keep it secure and available, but we don't promise it will be uninterrupted or error-free, and we don't control blockchains, wallets, exchanges, Bridge or other third parties. Nothing here is financial, legal or tax advice.

9. Liability

To the extent the law allows: neither side is liable for indirect or consequential losses, lost profits or lost data; and Wolf Pay's total liability for any claims in a 12-month period is limited to the fees you paid Wolf Pay in that period. These limits don't apply to fraud, wilful misconduct, or anything the law doesn't allow to be limited.

10. Your responsibility to us

You'll cover Wolf Pay's reasonable losses and costs from claims by others caused by your products or services, your breach of these terms or the law, or how you pay people.

11. General

  • These terms are governed by the laws of the jurisdiction where Wolf Pay is incorporated. Disputes go to the courts there, unless the law where you're based gives you a right to bring them elsewhere.
  • We may update these terms. We'll email account owners at least 30 days before a material change takes effect (sooner where the law or Bridge requires it), and ask you to accept the new version before you can start or continue live payments.
  • You may not transfer this agreement without our consent. If part of it can't be enforced, the rest still applies.
  • Questions: Talk to us in the dashboard (or reply to any email from Wolf Pay).
